I keep gerring the following error code and dont know why:
Content-type: text/html
Error Notice gm-karma.cgi is not executable. Please check the file permissions and make sure you CHMOD it to 755.
Yes I checked my CHMOD so i know its not that, this is an upgrade from 1.3.1 and all of my perl settings are the same as the new files?
am i doing something wrong that im not seeing?!?!

Hmm, that is strange. Try checking all the files that have to be 755, just in case you are getting an incorrect error message: - gm-karma.cgi
- gm-comments.cgi
- gm-upload.cgi
- gm.cgi
Also, what version of Perl are you using? That is the first executable file it checks, if you want, try renaming the file and seeing if it complains about gm-karma.cgi not existing (just to see if its working). Finally, if you are sure everything is executable, you can edit line 81 of libs/Gm_Storage.pm and remove gm-karma.cgi from that list of files. If it then complains about gm-comments.cgi, I would suspect that your perl does not like the -x flag for checking if a file is executable.

ok i tested my site and made the changes you suggested, when i rename karma i still get an error but this time it says that its not READABLE??? now im stumped...

Because you have renamed it, it can't find it to read. I don't know why I advised that initially.
Are you using a windows box? It was discovered that windows Perl does not correctly check if a file is executable.
You will want to edit line 81 of libs/Gm_Storage from:
my @executable = qw(gm-karma.cgi gm-comments.cgi gm-upload.cgi gm.cgi); to:
my @executable = ();
Note that this will be fixed in 1.7.2
